Welcome to WBEX. These Terms and Conditions ("Terms") govern your access to and use of the WBEX managed infrastructure platform ("Platform"), operated by WBEX, a company registered in Riyadh, Kingdom of Saudi Arabia (Commercial Registration No. 7052047094). By creating an account or using the Platform, you agree to be bound by these Terms. If you do not agree, please do not use our services.
WBEX is a managed infrastructure platform that enables businesses and individuals to:
You must be at least 18 years of age and have the legal capacity to enter into a binding agreement. If you are registering on behalf of a business entity, you represent that you have the authority to bind that entity to these Terms.
You agree to provide accurate, current, and complete information during registration and to keep your account information updated. You are responsible for maintaining the confidentiality of your account credentials, including passwords and API keys.
You are responsible for all activities that occur under your account. You must notify WBEX immediately at info@wbex.sa if you become aware of any unauthorized use of your account or any other breach of security.
WBEX offers the following service tiers:
Fees are billed in advance on a monthly or annual basis, depending on the billing cycle you select. All fees are non-refundable unless otherwise stated. WBEX reserves the right to modify pricing with 30 days' prior written notice. Continued use of the Platform after the price change constitutes acceptance of the new pricing.
If payment is not received by the due date, WBEX may suspend access to the Platform. Accounts with overdue balances exceeding 30 days may be subject to termination. WBEX will provide at least 7 days' notice before suspending or terminating an account for non-payment.
You may use the Platform to deploy and manage lawful applications, websites, APIs, databases, and other software services in accordance with applicable laws and regulations of the Kingdom of Saudi Arabia and any other relevant jurisdictions.
You shall not use the Platform to:
WBEX reserves the right to investigate suspected violations of this policy and to suspend or terminate accounts that violate these Terms, with or without notice depending on the severity of the violation.
You retain all ownership rights to the applications, code, data, and content that you deploy on the Platform ("Your Content"). WBEX does not claim any ownership of Your Content.
By uploading Your Content to the Platform, you grant WBEX a limited, non-exclusive license to host, store, transmit, and process Your Content solely for the purpose of providing and maintaining the services you have requested.
The Platform, including its design, features, code, documentation, trademarks, and logos, is the property of WBEX and is protected by intellectual property laws. You may not copy, modify, distribute, or reverse-engineer any part of the Platform without prior written consent from WBEX.
WBEX strives to maintain a high level of service availability. For Enterprise plan customers, specific uptime commitments are defined in a separate Service Level Agreement (SLA). Starter and Professional plans are provided on a commercially reasonable efforts basis.
WBEX may perform scheduled maintenance that could temporarily affect Platform availability. We will endeavor to provide advance notice of scheduled maintenance via email or in-platform notifications. Emergency maintenance may be performed without prior notice when necessary to protect the integrity of the Platform.
Support is provided according to the terms of your service plan. Response times and support channels vary by plan tier as described in Section 3.1.
The Platform is provided "as is" and "as available" without warranties of any kind, whether express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement.
To the maximum extent permitted by law, WBEX shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, business opportunities, or goodwill, regardless of the cause of action or the theory of liability. WBEX's total aggregate liability arising from or related to these Terms shall not exceed the total fees paid by you to WBEX in the twelve (12) months preceding the event giving rise to the claim.
WBEX integrates with third-party cloud providers and services. WBEX is not responsible for any failures, outages, or issues caused by third-party providers. Your use of third-party services is governed by the respective provider's terms of service.
You may terminate your account at any time by contacting WBEX at info@wbex.sa or through the Platform's account settings. Upon termination, you will remain responsible for any outstanding fees. Prepaid fees for unused periods are non-refundable.
WBEX may terminate or suspend your account immediately, without prior notice, if:
Upon termination, your access to the Platform will cease. WBEX will retain Your Content for a period of 30 days following termination, during which you may request a data export. After this period, WBEX may permanently delete Your Content. Provisions of these Terms that by their nature should survive termination shall remain in effect.
You agree to indemnify, defend, and hold harmless WBEX, its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising from or related to your use of the Platform, your violation of these Terms, or your violation of any applicable law or regulation.
WBEX reserves the right to modify these Terms at any time. We will notify you of material changes by email or through a notice on the Platform at least 30 days before the changes take effect. Your continued use of the Platform after the effective date of the revised Terms constitutes your acceptance of the changes.
These Terms shall be governed by and construed in accordance with the laws of the Kingdom of Saudi Arabia. Any disputes arising from or relating to these Terms or your use of the Platform shall be subject to the exclusive jurisdiction of the competent courts in Riyadh, Kingdom of Saudi Arabia. Before initiating any formal proceedings, both parties agree to attempt to resolve disputes through good-faith negotiation for a period of at least 30 days.
These Terms, together with the Privacy Policy and any applicable Service Level Agreement, constitute the entire agreement between you and WBEX regarding the use of the Platform.
If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.
The failure of WBEX to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision.
You may not assign or transfer your rights or obligations under these Terms without the prior written consent of WBEX. WBEX may assign its rights and obligations without restriction.
